This document constitutes a legally binding agreement (the "Agreement") between you (the "User") and LEGUM LEX ("Enterprise"), a legal technology enterprise. By accessing, browsing, or utilizing the platform available at www.legumlex.com (the "Platform"), the User acknowledges that they have read, understood, and unequivocally agreed to be bound by the terms and conditions set forth herein. If the User does not agree to these terms, they are directed to immediately cease all use of the Platform and its associated services.
Clause 1: Legal Identity and Contact Particulars
The Enterprise, LEGUM LEX, maintains its registered Head Office at 19, Azaadi Rte, Sector 10A, Sector 10, Chandigarh – 160011, India. Furthermore, the Enterprise operates a Branch Office at Office No. 10/11, Casablanca CHS Limited, Old Raviraj Complex, Jesal Park, Bhayander East, Thane – 401105, Maharashtra, India. All formal communications and legal notices shall be directed to the aforementioned addresses or electronically via info@legumlex.com.
Clause 2: Scope and Nature of Services
LEGUM LEX operates as a technology-enabled legal services platform designed to provide digital legal infrastructure. The services offered include, but are not limited to, contract lifecycle management (CLM), automated legal notice drafting and dispatch protocols, comprehensive litigation tracking, digital document management, and compliance automation tools. The primary objective of the Platform is to optimize legal operational efficiency and enhance transparency through proprietary technological workflows.
Clause 3: Bar Council Compliance and Regulatory Disclaimer
The User acknowledges that this Platform provides information regarding advocate-led legal services. In strict accordance with the Bar Council of India Rules, nothing contained on this Platform shall be interpreted as an advertisement, solicitation, or inducement of any nature. The dissemination of information through the Platform does not, in itself, establish an advocate-client relationship. Such a relationship shall only be deemed to exist upon the execution of a formal engagement letter and the completion of conflict-of-interest protocols.
Clause 4: User Covenants and Representations
The User represents and warrants that all information provided to the Platform is accurate, lawful, and complete. The User shall maintain the confidentiality of any access credentials and shall be solely responsible for all activities occurring under their account. The User further covenants that they possess the requisite legal authority to upload any documents or data shared with the Platform and shall indemnify the Enterprise against any claims arising from a breach of this representation.
Clause 5: Legal Notice and Dispatch Protocols
Services pertaining to legal notices involve drafting by qualified advocates and subsequent dispatch via Registered Post (Acknowledgement Due), Speed Post, or electronic means. The User acknowledges that while the Enterprise employs rigorous tracking and monitoring systems, the Enterprise does not warrant or guarantee any specific legal outcome or response from the recipient of such notices. Delivery timelines are subject to the performance of third-party postal and courier authorities.
Clause 6: Contract Lifecycle Management (CLM) Provisions
The CLM features of the Platform allow Users to archive legal instruments, track contractual obligations, manage deadlines, and utilize automated notification systems. The Enterprise provides the infrastructure for such management; however, the final interpretation of contractual data and the resulting legal decisions remain the sole responsibility of the User. The Enterprise shall not be held liable for any failure of the User to act upon the notifications provided by the system.
Clause 7: Financial Terms and Consideration
The User agrees to pay all applicable fees for the services utilized on the Platform, as detailed in the relevant pricing schedules. All payments shall be processed through secure, third-party payment gateways. The Enterprise reserves the right to modify its fee structure with reasonable notice to the User. Access to certain premium features may be contingent upon the timely settlement of dues.
Clause 8: Refund and Cancellation Policy
Refunds may be considered only in limited circumstances, such as duplicate transactions resulting from technical errors or cancellations initiated before the commencement of any professional drafting or advisory work. Once the Enterprise has initiated the drafting process or allocated professional resources to a matter, fees paid shall be deemed earned and non-refundable. All approved refunds shall be processed within seven (7) to ten (10) business days.
Clause 9: Intellectual Property Rights
All technology, software architectures, algorithms, automated workflows, branding, and proprietary documentation associated with the Platform are the exclusive intellectual property of LEGUM LEX. The User is granted a limited, non-exclusive, non-transferable license to access the Platform for its intended purpose. Any unauthorized reproduction, reverse engineering, or distribution of the Enterprise's intellectual property is strictly prohibited and shall be subject to legal action.
Clause 10: Limitation of Liability and Indemnification
To the maximum extent permitted by law, LEGUM LEX shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Platform. This includes, but is not limited to, damages resulting from postal delays, inaccuracies in User-provided data, or the outcomes of legal disputes. The User agrees to indemnify and hold harmless the Enterprise from any claims resulting from the User's breach of this Agreement.
Clause 11: Data Security and Confidentiality
The Enterprise employs industry-standard encryption and security protocols to safeguard User data. While the Enterprise strives to maintain the highest levels of security, the User acknowledges that no digital transmission can be guaranteed as absolute. The Enterprise's handling of personal information is further governed by the Privacy Policy incorporated herein by reference.
Clause 12: Governing Law and Jurisdictional Mandate
This Agreement and all matters arising out of the use of the Platform shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes, controversies, or claims arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts situated in Chandigarh, India.
Clause 13: Amendments and Modifications
LEGUM LEX reserves the unilateral right to amend, modify, or update these Terms of Service at any time without prior individual notice. Continued use of the Platform following such modifications shall constitute the User's acceptance of the revised terms. Users are encouraged to review this document periodically to ensure continued compliance.
